What to do
Measure how much of your sales rest on one hero SKU and build the next growth channel before the hero stalls

Key takeaways

  • Henkel closed its Olaplex purchase on July 7, 2026 at $2.06 a share, about $1.4 billion, 90% below the $21 IPO price.
  • Sales fell 40% from $704.3 million in 2022 to $423.0 million in 2025 even with a 69.4% gross margin.
  • The first bid was $1.23 a share; brands that rely on one hero SKU should build the next one before the first one stalls.

What happened and when

Henkel signed the deal on March 26, 2026 and closed it on July 7, 2026, after regulatory approvals, folding Olaplex into its Consumer Brands unit. Henkel says the purchase makes it the global number two in professional haircare. Olaplex had about 370 million euros of sales in 2025, and its own report put 2025 net sales at $423.0 million, flat on 2024, with a net loss of $9.3 million against a $19.5 million profit a year earlier.

The $2.06 price was a premium of about 55% to the March 25 close, yet it was roughly 90% below the $21 IPO price. Olaplex priced 73.7 million shares at $21 on September 29, 2021, above a range it had already raised twice, and Bloomberg put its market value above $13.6 billion. Advent, which owned about 75% of the stock, signed a written consent on deal day and fully exits at close.

The bids nobody saw until the filing

The information statement Olaplex filed with the SEC on May 4, 2026 lays out the auction. In April 2025 a bidder called Party A offered $1.23 a share plus a $0.10 contingent right, and the board turned it down. The board contacted eight possible buyers. Party D bid $1.55 in November 2025 and withdrew in January. Henkel's group opened at $1.85 on November 26, 2025, moved to $2.03 in February 2026 and reached $2.06 on March 24, 2026, in exchange for a stronger antitrust commitment.

J.P. Morgan's fairness work valued the shares at about $1.35 to $1.75 on trading multiples and $1.75 to $2.20 on a discounted cash flow, so the final price sat at the top of what the business was judged to be worth. Management's base case forecast net revenue of $438 million in 2026, $470 million in 2027 and $515 million in 2028, and the board asked that TikTok Shop sales be built into it.

How a $704 million brand became a $423 million brand

Olaplex's sales rose 17.7% to $704.3 million in 2022, then fell to $423.0 million by 2025, a 40% drop from the peak. The company cut its 2022 outlook in October that year, from a raised range of $796 million to $826 million down to about $704 million to $711 million. CNBC tied the slide to a lawsuit alleging hair loss, which the company disputed, and to more competition in prestige haircare.

The channel mix shows where the pressure sat. In 2025 specialty retail sales fell 8.3% while professional rose 5.5% and direct to consumer rose 3.1%. In the fourth quarter, specialty retail dropped 14.5% to $24.7 million while professional grew 18.9% to $36.8 million. Shelf partners were cutting orders while salons and the brand's own channels held up. Gross margin stayed strong at 69.4%, so this was a demand problem, not a cost problem. So what for a brand's P&L

A great gross margin does not protect a brand whose demand rests on one famous product. Once rivals copy the claim at a lower price, the hero SKU stops growing, retailers trim orders, and every fixed cost from marketing to debt service weighs more. Olaplex still sold for about 3.3 times 2025 sales ($1.4 billion over $423 million) because the brand name, salon base and margin had value to a strategic buyer. The equity holders who bought at $21 carried the loss.

Worked example with illustrative numbers

These numbers are invented to show the math. A haircare brand sells $50 million a year, with $30 million, 60%, from one hero treatment, and the whole range earns a 70% gross margin. A lower priced copy takes 15% of hero units in year one and another 15% of what is left in year two. Hero sales fall to $25.5 million and then $21.7 million, and total sales drop to $41.7 million if the rest of the range only holds flat.

Gross profit falls from $35 million to $29.2 million. If the brand spends $25 million on marketing, people and overhead, operating profit drops from $10 million to $4.2 million, a 58% fall from a 17% sales fall. That leverage is why a brand that looks healthy on margin can lose most of its value in two years. Run your own version with the Amazon profit calculator.

What sellers and brands should do now

  • Finance lead: calculate the share of revenue from your top SKU and your top 3 SKUs each month in Business Reports. Metric: if one SKU is above 40% of sales, set a target to bring it under 35% within 12 months.
  • Brand manager: run a monthly search for your hero product's main claim on Amazon, TikTok Shop and Google Shopping, and log every copy with price and rating, as the Amazon competitor research guide explains. Metric: number of rivals within 20% of your rating and under 60% of your price.
  • PPC manager: protect the hero listing with brand defense and product targeting on your own detail pages before copies take the slots. Metric: share of branded search orders you keep, tracked in Brand Analytics.
  • Brand protection lead: enrol in Brand Registry tools and report counterfeit or infringing listings weekly, using the Amazon brand protection checklist. Metric: number of listings removed and time to removal.
  • Growth lead: launch a second hero in an adjacent need, or a bundle that a copy cannot match, using Amazon product bundles. Metric: second SKU above 15% of sales within a year.
  • Owner: test one new channel where your buyer is shopping now, such as TikTok Shop, and get a free Amazon audit of your listing and ad defense. Metric: the new channel's share of sales and its contribution margin after fees.

Hero product risk check

  • Top SKU share of sales under 40%
  • Rivals logged monthly by price and rating
  • Brand defense ads on own listings
  • Weekly infringement reports filed
  • Second hero above 15% of sales
  • One new channel tested this year

When this does not apply

If no single product drives more than about a quarter of your sales, the hero risk here is smaller, and your bigger risk is likely spread thin across too many SKUs. Olaplex also carried a public market valuation and private equity debt that magnified the fall; a founder-owned brand with no debt has more time to fix a stall. The hair loss lawsuit was an allegation the company contested, so do not read this as proof that one claim sinks a brand.
