What to do
Importers: check who the importer of record is, and report refunds as one-time

Key takeaways

  • Vera Bradley's $4.2M Q2 operating income included a $7.7M tariff refund; without it the quarter is an operating loss of about $3.5M.
  • Sales recovery is real: direct comps rose 9.2%, with inventory down 28.4% and no long-term debt.
  • Only the importer of record or its filing broker can claim, so check your entries and report any refund as one-time.

What Vera Bradley reported

The bag and accessories brand posted a second straight quarter of revenue growth, after nearly five years without any, Modern Retail says. Direct revenue, which covers stores and ecommerce, rose 8% to $65.4 million, and direct comparable sales rose 9.2%.

Gross margin jumped to 59.8% from 50.1%. Tariff refunds were about $8 million net of interest, with $7.7 million going to gross profit and $0.3 million to inventory.

So what: the plain math

Take the $7.7 million out of $4.2 million of operating income and you get an operating loss of about $3.5 million. That is our subtraction, not a company figure. It compares with an operating loss of $4.6 million a year earlier, so on that basis the business did improve.

The adjusted view is less kind. The Invest with Colby newsletter puts adjusted operating income without the refund at a loss of about $3.4 million, against about $0.6 million a year ago, and notes management has not guided to a repeat.

One detail does not tie. Management said the refund added about 980 basis points to gross margin and that underlying margin rose more than 40 basis points. Subtracting $7.7 million from gross profit of $42.8 million gives about 49%, below last year's 50.1%. The public documents do not explain the gap, so treat the underlying margin claim with care.

What is real in the turnaround

The sales recovery looks genuine. CEO Ian Bickley said comps grew in both full price and outlet, with fewer promotional events. Inventory fell 28.4% to $69.3 million, and cash rose to $34.2 million from $15.2 million with no long-term debt.

The weak spot is indirect revenue, down 39.4% to $6.3 million. Management tied that to intentional marketplace timing changes and fewer liquidation sales, and said some marketplaces may be run as wholesale accounts. This matters because indirect earned a 47.5% segment margin, against 25.5% for direct.

The TikTok Shop number in context

Modern Retail reports more than 24,000 units sold on TikTok Shop as of October 26, and the headline credits the channel. Yet the earnings call transcript we read mentions social commerce only as an emerging channel, and never names TikTok Shop.

For example, at an assumed $50 average price, which is our illustrative number and not a reported one, 24,000 units is $1.2 million. That is under 0.5% of the low end of the $255 million to $270 million full year sales guidance.

A worked example for a smaller brand

For example, a brand with $2 million in sales and $100,000 of reported profit gets an $80,000 refund on past duties in the same year. These numbers are illustrative. Its repeatable profit is $20,000, or 1% of sales. If the owner raises the ad budget based on the $100,000, spend is set on money that will not come back next year.

What sellers should do

Refunds belong to the party on the customs entry, so start there.

  • Owner or ops lead: this week, ask your customs broker for entry summaries and confirm who the importer of record is. The metric is total IEEPA duties paid, by entry
  • Finance lead with the broker: if you are the importer of record, check your ACE Portal access and whether your entries fit the current CAPE phase. Thompson Hine reports only the importer of record or the broker that filed the entry can file. The metric is declarations accepted; CBP's FAQ says refunds generally follow within 60 to 90 days
  • Owner: if your supplier imported the goods, you likely cannot file. Ask the supplier in writing what they received and what your contract says. The metric is a written answer
  • Finance lead: book any refund as a one-time line and report margin without it, using a tool like our Amazon profit calculator. The metric is contribution margin excluding the refund
  • Marketing lead: judge TikTok Shop on contribution after affiliate commission and samples in Seller Center, not units. Our TikTok Shop affiliate guide covers the setup. The metric is contribution per order

Before you spend a refund

  • Confirm the importer of record
  • Total IEEPA duties by entry
  • Check the current CAPE phase
  • Book the refund as one-time
  • Set ad budgets without it

When this does not apply

If you never acted as importer of record, there is no CAPE filing for you to make. Phase 1 covered certain unliquidated entries and entries within 80 days of liquidation, with more complicated cases left to later phases, so some entries may not qualify yet. We could not confirm a final filing deadline, so check CBP guidance and take advice from your broker or tax adviser.
